DBS PAYLAH! BUSINESS APP TERMS OF USE (FOR MERCHANTS)

By signing up for the PayLah! Business App services, you agree to the following terms of use (“Terms”).

(I) HOW THE PAYLAH! BUSINESS APP WORKS

1. Payments made to Crediting Account
Your customers can make payments to your Crediting Account by using the DBS PayLah! App, DBS Digibank or other mobile payment service(s) introduced by DBS.

2. Tracking payments made to Crediting Account
The payments to your account will show immediately in the “Seller Mode” and the “History” sections available on the PayLah! Business App.

3. Transaction limit
The per transaction limit is S$999 per transaction.

The PayLah! Business App is also able to collect up to varying daily amounts based on the approval status of the user. These amounts are subject to change at any time without prior notice. Please refer to para 11 for the different approval limits.

4. Change of any feature or functionality of the PayLah! Business App
DBS may change, add or remove any feature or functionality of the PayLah! Business App at any time without prior notice. We will notify you of the change via any method that we may choose.

(II) FEES AND CHARGES

5. Fees or charges
Use of the PayLah! Business App is free until further notice from DBS.

(III) REGISTRATON

6. Registration criteria
You need to have:
  1. a personal account or joint-alternate account with DBS (for NEA License holders with no business accounts); or
  2. a corporate/business current account with DBS opened for a company or registered business (i.e. sole-proprietorship or partnership/limited partnership/limited liability partnership) with Accounting and Corporate Regulatory Authority (ACRA); and
  3. business registration details (i.e. ACRA registration number or copy of NEA licence); and
  4. valid Singapore mobile number. A DBS IDEAL account (for corporates/businesses) or DBS iBanking account (for individuals) is mandatory.

7. Registration Information
You need to:
  1. provide the business profile name which will be displayed to parties transferring funds to your account;
  2. set and securely maintain a unique ID in the required format (known as Virtual Payment Address or “VPA”) and personal password to access and use the Business App unless Touch ID is used;
  3. link your Crediting Account to receive payments via the Business App; and
  4. provide DBS with all the information and supporting documents (e.g. NRIC, ACRA number or copy of NEA licence) as required on the Business App.
The information you provide for the purpose of registration will not override any of your existing information in DBS’ records.

8. Technical Requirements
You just need a working smartphone with cellular connection. You are responsible for obtaining and maintaining the necessary updated software and/or device, hardware and/or equipment necessary to use the PayLah! Business App at your own expense.

9. Installation of the Business App on multiple mobile devices
Multiple device installation is possible.

10. Rejection of application
Once the account is set-up, you may start using the PayLah! Business App immediately, subject to maximum transaction limits in point 11 below.

DBS may reject your application without providing any reason. Your application will be approved within a minimum of 3 working days upon submission of complete documents.

(V) CREDITING ACCOUNT

12. Crediting Accounts
You can link either a DBS personal account (for non ACRA registered NEA License holders) or a DBS business current account (for corporates, partnerships and sole proprietors with business accounts).

13. Joint Accounts
You can link a Joint-Alternate bank account but not a Joint-All bank account.

14. Change of Crediting Account
You can change the Crediting Account by clicking “More” and selecting “Manage Bank Account” on the Business App. If you are a DBS IDEAL or DBS iBanking user, you will need to verify your identity before you can change your bank account.

15. Minimum balance
There is no requirement to maintain a minimum balance in the PayLah! Business App account however merchants are advised to maintain a small amount in the account to facilitate refunds.

16. Closure of Crediting Account
The linkage to your PayLah! Business App Account will immediately be terminated but your PayLah! Business App account will remain valid. Funds can still be received into the DBS Business App account even after the linkage is terminated. DBS will hold on to such funds for 12 months after which it has the right to deal with the monies at its absolute discretion if the amount is not claimed or if the account linkage is not re-established.

(VI) SETTLEMENT AND REPORTS

17. Sweeping of Funds to Account

Payments received from your customers will be settled and “swept” to your Crediting Account at the end of each day (10pm) by default (unless default settlement is disabled by you).

Nonetheless you may perform up to 4 manual settlements every day to “sweep” funds into your account anytime during the day. All funds “swept” into your Crediting Account will be credited within 5 minutes or other similar time period unless there is a system fault in which case we shall not be liable for the delay.

All payments received since the last settlement (nett of refunds) will be credited back to your Crediting Account. All settlements will be available for viewing on a real-time basis on the PayLah! Business App account once a settlement has been made.

18. Refunds
To perform a refund, go to the transaction history (which records transactions up to the last 90 days only) and effect a full refund by using the “Full Refund” function. No partial refund is allowed. Each transaction shall be tracked by the last 4 digits of the sender’s mobile number. All refunds are irreversible.

19. Transaction Reports
You may request to view your transaction report anytime up to the last 30 days only. Any transaction report later than 30 days will not be provided and DBS shall not be responsible for any loss suffered due to the non-availability of the transaction report.

20. Transactions in Bank Statements
The transactions will be reflected in the regular account statements of your Crediting Account. Only a consolidated amount for the relevant settlement (with the description “SEND BACK FROM PAYLAH! BUSINESS”) will be reflected on your account statement.

A list of all the individual transactions comprising each settlement is available in the settlement report which will be sent to your email on request from the PayLah! Business App.

(VII) TERMINATION OF PAYLAH! BUSINESS APP ACCOUNT

21. Termination by you
To terminate your PayLah! Business App account, you should apply to DBS in writing using the email address you provided at the point of registration.

22. Termination by DBS
DBS may suspend or terminate the service any time for any reason without prior notice to you. DBS will notify you of the suspension or termination via any method that we may choose. In this event, DBS is not obliged to reinstate your account even if you submit a written request for the reinstatement.

23. Dealing with money upon closure of PayLah! Business App account
DBS will hold on to any funds not swept into the Crediting Account for 12 months, after which it has the right to deal with the monies at its absolute discretion if the amount is not claimed or if the account linkage is not re-established.

(VIII) CUSTOMER DATA

24. Your obligations on dealing with customer data

The personal data of DBS customers (e.g. profile name) of the customer may be made available or displayed to you for the purpose of (a) identifying and processing the payment; and (b) attending to queries or disputes from the customer in relation to the payment.

You agree that you shall:
  1. only use the personal data for the purposes for which DBS had disclosed it to the you under these terms, or in accordance with DBS’ written instructions;

  2. protect the personal data against unauthorised or accidental access, collection, use, disclosure and destruction, and ensure that security measures are implemented to give such protection;

  3. give DBS notice in writing immediately of you becoming aware of or suspecting that any of the events referred to in (b) above has occurred and shall promptly take all necessary steps to remedy the event and prevent its re-occurrence;

  4. not retain the personal data for any period of time longer than is necessary to serve the purposes for which the personal data was disclosed by DBS;

  5. immediately return or destroy personal data in the event you terminate your DBS Business PayLah! Account, or as instructed by DBS in writing, except where applicable laws require you to retain the personal data;

  6. limit disclosure of personal data to your employees (where applicable) on a need to know basis, for the purposes of fulfilling your obligations under these terms; and

  7. not transfer the personal data to any third party (whether in Singapore or otherwise) without DBS’ prior written consent. Where such consent is given by DBS, you shall procure that the third party complies with these terms in relation to the access, collection, use, disclosure and destruction of the personal data.

(IX) QR Code

25. Generation of QR Code
You may generate static QR Codes from your Business App and print it for customers to scan and pay. Item QR code may be generated with price specified or not specified.

(X) OTHERS

26. Notifications from DBS
You agree to receive “push notifications” and SMS notifications relating to your access to and use of the PayLah! Business App. Notifications are deemed to be sent to you even if you are unable to or do not receive the notification for any reason.

27. Disputes with customers on the goods/services

DBS will not be responsible for:
  1. any dispute between you and the customer in relation to the goods or services purchased; and/or
  2. the loss, suffered by you or any third party, arising out of the use of the PayLah! Business App for any reason, unless the loss is due to the negligence or wilful default of DBS.

28. Sums wrongly credited to your account
If DBS is satisfied that the amount was wrongly credited into your PayLah! Business App account/Crediting Account, it shall have the right to debit the amount from your PayLah! Business App account/Crediting Account without any prior notice or liability to you.

29. Investigations into the transactions
DBS may investigate and take any action DBS deems appropriate, including reporting any suspected unlawful activity and disclosing any information to any governmental or regulatory authority.

30. Change of Terms
DBS may change these Terms at any time without prior notice but we may give you notice of the changes via any method that we choose.

31. What other terms do I need to agree to?
By registering for PayLah! Business App, you agree that you continue to be bound by these terms (where applicable to you):
  1. DBS Privacy Policy;
  2. T&Cs Governing Accounts (Applicable to Individuals);
  3. T&Cs Governing Accounts (Applicable for Business/Non-Individuals);
  4. DBS Electronic Banking Services Terms and Conditions; and
  5. T&Cs Governing Electronic Services.
If there is any conflict between these Terms and the terms above, these Terms shall take priority.

DEFINITIONS

32. DBS”, “we”, “our” or “us” refers to DBS Bank Ltd.

You” or “your” refers to the PayLah! Business App user who may be a (i) sole proprietor; (ii) partner in a partnership; or (iii) the authorised signatory of a company authorised to sign up for the PayLah! Business App account.

“DBS PayLah! Business App” or “PayLah! Business App” is a mobile application service offered by DBS that enables DBS merchants to receive payments from individual users of DBS PayLah! App directly into their DBS business (current) or personal accounts.

Crediting Account” is the business (current) or personal account you link to your PayLah! Business App account at any one point in time.
